LUBITSCH ERNST: (1892-1947) German-born American film director, recipient of an Honorary Academy Award in 1946. D.S., Ernst Lubitsch, one page, 4to, n.p. (California?), 6th March 1941. The typed document bears the heading Written Consent of the Shareholders of Ernst Lubitsch Productions, Inc. to Dissolution and states that it has been deemed advisable for the corporation to be wound up and dissolved, and that the two equal shareholders 'do hereby consent and elect to terminate the business…..wind up its affairs, and voluntarily dissolve said corporation' and also 'do hereby further direct the officers and directors of this corporation to take such further action as may be necessary or proper to terminate the business'. Signed in bold black fountain pen ink by Lubitsch at the foot in his capacity as a 50% shareholder of Principal Artists Productions and countersigned by Sol Lesser (1890-1980) American film producer. In 1941 Lubitsch and Lesser had independently produced That Uncertain Feeling, directed by Lubitsch as a remake of his earlier film Kiss Me Again (1925). That Uncertain Feeling, starring Merle Oberon, Melvyn Douglas and Burgess Meredith, was not a commercial success, no doubt leading to the dissolution of Lubitsch and Lesser's company, as reflected in the present document.
